By accessing our website, purchasing the CLEAR Framework Toolkit, creating an account, or using any part of the Services, you agree to these Terms. If you do not agree, please do not use the Services or make a purchase.
1. About the CLEAR Framework Toolkit
The CLEAR Framework Toolkit is a self-guided educational and reflective digital resource. It may include written materials, videos, audio recordings, transcripts, worksheets, frameworks, weekly check-in tools, downloadable resources, and related content.
The CLEAR Framework Toolkit is designed to support reflection, awareness, learning, and personal or professional decision-making. It is not a substitute for individualized professional advice or care.
2. Eligibility
You must be at least the age of majority in your province, state, or country of residence to make a purchase. By purchasing or using the Services, you confirm that you meet this requirement and have the legal capacity to enter into these Terms.
3. Purchases and Payment
All prices are shown and charged in United States dollars (USD). Your bank or card issuer may apply currency-conversion or foreign-transaction fees, which are not controlled or reimbursed by us. You agree to provide current, complete, and accurate payment and contact information when making a purchase.
Payments are processed through Stripe. We do not directly store full payment-card information.
We may change the price of the CLEAR Framework Toolkit or other offerings at any time. Any price change will not affect a purchase that has already been completed and paid for.
Irrissistible Offer Pricing
Where promotional pricing (Irrissistible Offer) is offered, it applies only during the stated promotional period and under the terms shown on the relevant sales page.
If you purchase the CLEAR Framework Toolkit during an advertised irrissistible offer period for $147 USD, you pay that amount once for the Toolkit included with your purchase. You will not be charged a later standard price for the same Toolkit purchase because the price increases after the irrissistible offer period ends.
4. Access to Digital Content
After successful payment, you will receive access to the CLEAR Framework Toolkit through our learning platform, operated on GoHighLevel / LeadConnector, or another delivery method identified at purchase.
You are responsible for providing a valid email address, maintaining access to that email account, and safeguarding your account credentials.
Your access is personal to you. You may not share login credentials, account access, purchased content, or downloadable materials with another person unless we expressly give written permission.
We may update, improve, reorganize, replace, or discontinue portions of the learning platform or Services from time to time. We will make reasonable efforts to maintain access to purchased digital content, subject to technical maintenance, platform availability, legal requirements, and these Terms.
5. Licence and Permitted Use
When you purchase the CLEAR Framework Toolkit, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable licence to access and use the purchased materials for your own personal or internal business use.
You may:
View and use the purchased materials for your own learning, reflection, and application.
Download materials where a download option is expressly provided.
Print a reasonable number of copies of downloadable worksheets or resources for your own use.

Use the materials to create, market, teach, train others in, or sell a product, program, framework, card deck, course, workshop, or service that copies or is substantially derived from our materials.
Remove copyright, trademark, attribution, or proprietary notices.
Record, screen-capture, scrape, reverse engineer, or systematically extract content from the platform except where expressly permitted by law.
Use the Services for any unlawful, harmful, fraudulent, defamatory, or infringing purpose.
6. Intellectual Property
All content within the Services—including the CLEAR name and framework, the Phantom Syndicate patterns and card concepts, written materials, visual design, audio, video, recordings, transcripts, worksheets, graphics, branding, logos, downloadable materials, and website content—is owned by or licensed to 12894173 Canada Inc. and is protected by applicable intellectual-property laws.
Nothing in these Terms transfers ownership of any intellectual property to you. All rights not expressly granted are reserved.
7. Educational and Personal-Responsibility Disclaimer
The CLEAR Framework Toolkit is offered for educational, informational, and reflective purposes only.
It is not therapy, psychotherapy, counselling, crisis support, medical care, psychological assessment, diagnosis, treatment, legal advice, financial advice, business consulting, or any other regulated professional service.
You are solely responsible for your choices, actions, decisions, and results. Your use of the Services does not create a therapist-client, doctor-patient, lawyer-client, financial-advisor-client, employment, partnership, fiduciary, or other professional relationship with us.
If you are experiencing a mental-health emergency, thoughts of self-harm, risk of harm to another person, or another urgent crisis, do not rely on this Toolkit. Contact local emergency services (911 in Canada), a qualified healthcare professional, a crisis line (such as 9-8-8 in Canada), or another appropriate source of immediate support.

We may describe experiences, examples, possible benefits, or intended outcomes related to the CLEAR Framework Toolkit. These are not promises or guarantees of any particular result.
Individual outcomes vary depending on many factors, including a person’s circumstances, effort, interpretation, decisions, available support, and factors outside anyone’s control. We do not guarantee personal, professional, financial, business, health, relationship, productivity, or other results.
9. Refunds
Refunds are governed by our Refund Policy, which forms part of these Terms. Please review it before purchasing.
If a refund is issued, access to the CLEAR Framework Toolkit learning platform will be revoked. Audio recordings and transcripts you downloaded during your valid access period remain yours to keep for personal use, subject to Section 5.
10. Acceptable Conduct
You agree not to interfere with the website, learning platform, payment process, servers, security features, or another user’s access to the Services.
We may suspend or terminate access if we reasonably believe you have violated these Terms, shared or misused content, engaged in unlawful activity, attempted unauthorized access, or created a risk to the Services, other users, or our intellectual property.
Termination for a breach of these Terms does not create a right to a refund, except where required by law.
11. Third-Party Services and Links
The Services rely on or link to third-party providers, including Stripe (payments), GoHighLevel / LeadConnector (website, forms, email, and learning platform), Google Analytics (website analytics), and Cloudflare R2 (file storage, downloadable Toolkit files, and backups), as well as external websites.
We are not responsible for the content, availability, privacy practices, security, or terms of any third-party website or service. Your use of third-party services is governed by their own terms and privacy policies.
12. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis. We do not warrant that the Services will be uninterrupted, error-free, secure, compatible with every device or browser, or free from all defects.
Nothing in these Terms excludes any warranty, right, or remedy that cannot legally be excluded or limited, including under Québec’s Consumer Protection Act.
13. Limitation of Liability
To the fullest extent permitted by applicable law, 12894173 Canada Inc. and its owners, contractors, and representatives will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, data, business opportunity, goodwill, or reputation; or losses arising from your use of or inability to use the Services.
Where liability cannot legally be excluded, our total liability in relation to a claim connected to the Services will not exceed the amount you paid us for the specific CLEAR Framework Toolkit purchase giving rise to the claim during the 12 months before the claim arose.
Nothing in these Terms limits liability where doing so would be unlawful.
14. Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless 12894173 Canada Inc., its owners, contractors, and representatives from claims, liabilities, damages, losses, and expenses arising from your misuse of the Services, violation of these Terms, infringement of another person’s rights, or unlawful conduct.
15. Changes to the Services or Terms
We may update these Terms from time to time. The revised version will be posted on this page with a new effective date.
If a change is material, we will take reasonable steps to notify existing customers, such as by email or a notice on the website. Your continued use of the Services after the updated Terms take effect means you accept the revised Terms. The Terms in effect at the time of your purchase apply to that purchase unless a change is required by law or is more favourable to you.

These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable in Québec, without regard to conflict-of-law principles.
Any dispute will be subject to the courts located in the judicial district of Montréal, Québec, unless applicable consumer-protection law gives you the right to proceed elsewhere.
